This TelaClaim API Service Level Agreement (“SLA”) governs the use of the TelaClaims API under the terms of the TelaClaims Terms of Service (the “TOS”) between TelaClaims, Inc. (“TelaClaims”, “us” or “we”) and users of the TelaClaims API (“you” or “Customer”). This SLA applies separately to each account using the TelaClaims API. Unless otherwise provided herein, this SLA is subject to the terms of the TOS and capitalized terms will have the meaning specified in the TOS. TelaClaims reserves the right to change the terms of this SLA in accordance with the TOS.

  1. Service Commitment

TelaClaims will use commercially reasonable efforts to make the TelaClaims API available 99% of the time. In the event TelaClaims does not meet the goal of 99% API availability in a given calendar month (“Monthly Uptime Percentage”), you will be eligible to receive a Service Credit as described below.

  1. Definitions

The following capitalized terms shall be given the meaning set forth below:

2.1 “Unavailable Time” means the TelaClaims API is not available for use according to third party performance and monitoring services contracted by TelaClaims at its sole discretion (the “Monitoring Service”). The Monitoring Service reports of availability is currently available at status.TelaClaims.com; provided that service issues or outages relating to any Exclusions (defined below) shall not be deemed as Unavailable Time.

2.2 “Monthly Uptime Percentage” is calculated by subtracting from 100% the percentage of continuous 5 minute periods during the Service Month in which the TelaClaims API was in a state of “Unavailable Time” as identified by Monitoring Service

2.3 A “Service Credit” is a dollar credit, calculated as set forth below, that TelaClaims may credit back to an eligible Customer account.

For a calendar month where the Uptime Monthly Percentage, as identified by Monitoring Service, TelaClaims, at its sole discretion after confirming the nature and accuracy of the Unavailable Time, will credit Customer’s account a percentage of that month’s billings, as defined by this table:

Service Credit shall be issued to Customer’s TelaClaims balance for future use only. No refunds or cash value will be provided. Service Credits may not be transferred or applied to any other account.

  1. Credit Request and Payment Procedures

To apply for a Service Credit, the customer must submit a ticket via the Account Portal within 30 days of the month in which the Unavailable Time occurred. The ticket must include (i) “SLA Claim” as the subject of the ticket; (ii) the dates and times of the Unavailable Time for which you are requesting credit; and (iii) any applicable information that documents the claimed outage.

  1. Exclusions

Notwithstanding anything to the contrary, no Unavailable Time shall be deemed to have occurred with respect to any unavailability, suspension or termination of the TelaClaims API, or any other TelaClaims API performance issues, that (i) are caused by factors outside of TelaClaims’s reasonable control, including, without limitation, any force majeure event, carrier related problems or issues, or Internet access or related problems beyond the demarcation point of TelaClaims or its direct hosting subcontractors (i.e. beyond the point in the network where TelaClaims maintains access and control over the TelaClaims Services); (ii) result from any actions or inactions of Customer or any third party (other than TelaClaims’s direct hosting subcontractor); (iii) result from Applications, equipment, software or other technology and/or third party equipment, software or other technology (other than third party equipment within TelaClaims’s direct control); or (iv) arise from TelaClaims’s suspension and termination of Customer’s right to use the TelaClaims Services in accordance with the TOS, (v) scheduled maintenance; or (vi) problems or issues related to alpha, beta or not otherwise generally available TelaClaims features or products (collectively, the “Exclusions”).

  1. Sole Remedy

Service Credits shall be your sole and exclusive remedy for any unavailability or non-performance of the TelaClaims Services or other failure by us to provide the TelaClaims Services.

Below is a description of what data we gather from you as a visitor to our various publicly-accessible websites, which includes www.TelaClaims.com and www.TelaClaims.org, and other websites where this privacy policy is posted. For ease, we will call all these publicly-accessible websites collectively the “TelaClaims Site” for short. Also, included below is a description of why we collect and how we use the data we collect on the TelaClaims Site. The TelaClaims Site does not include our account portal which you access by signing up for an account with TelaClaims.

In this notice, the words “our,” “us,” “we,” and “TelaClaims” refer to TelaClaims Inc. and our affiliates (which includes any person or entity that controls us, is controlled by us, or is under common control with us, such as our subsidiary, parent company, or our employees).

Before you submit any information on or through the TelaClaims Site, please carefully review this notice. By using any part of the TelaClaims Site, you consent to the collection, use, disclosure and sharing of your information as further outlined below in this notice.

What data we collect, how we collect it and why

Data you give to us directly. On some places on the TelaClaims Site, you can fill in a web form to share your data with us directly, such as on our “Sales” page or on our “Support” page. We collect the information you provide in response to those web forms. Occasionally, we may also offer opportunities for you to share your data with us such as through a survey, to sign up for a newsletter, or to register for or receive details about an event we are sponsoring. If you participate in those surveys, sign up for a newsletter, or register for an event, we will collect the information you provide to us in doing so.

We also include an “Ask the Community” link on our website. Clicking on this link takes you away from the TelaClaims Site to the TelaClaims Community website. TelaClaims Community and TelaClaims are related but separate, and TelaClaims Community has its own terms and privacy policy (check them out–they’re a good read). So, your participation in discussions on TelaClaims Community is subject to TelaClaims Community terms and privacy policy, not TelaClaims’s.

Data we collect from you automatically. When you visit the TelaClaims Site, we and our service providers acting on our behalf automatically collect certain data using tracking technologies like cookies, web beacons, and similar technologies.

What we use your data for

Data you give us directly. For data that you give to us directly through the “Talk to Sales” and “Talk to Support” pages, we will use that data to formulate a response to your inquiry and know how to get back to you with our response. Similarly, if you provide us information directly in response to a survey or when signing up for an event, we will use the data you provide for the reason that you provided it to us and for other purposes that we tell you about at the time when you provided that data.

Data we collect automatically. For data that we collect from you automatically through tracking technologies, we use this data to understand how visitors to the TelaClaims Site are using it and which pages and features of the TelaClaims Site are most popular. This helps us understand how we can improve our Site. In addition, tracking technologies are used to help improve the navigation experience on the TelaClaims Site.

Who we may share your data with

Unless you give us your permission, we don’t share data we collect from you with third parties, except as described below:

  • Third-party service providers or consultants. We may share data collected from you on the TelaClaims Site with third-party service providers or consultants who need access to the data to perform their work on TelaClaims’s behalf, such as a website analytics company or our third party advertising partners. These third party service providers are limited to only accessing or using this data to provide services to us and must provide reasonable assurances that they will appropriately safeguard the data.
  • Compliance with Laws. We may disclose your data to a third party if (i) we believe that disclosure is reasonably necessary to comply with any applicable law, regulation, legal process or government request, (ii) to enforce our agreements and policies, (iii) to protect the security or integrity of the TelaClaims Site or our services and products, (iv) to protect ourselves, our other customers, or the public from harm or illegal activities, or (v) to respond to an emergency which we believe in good faith requires us to disclose data to assist in preventing a death or serious bodily injury. If TelaClaims is required by law to disclose any of your data that directly identifies you, then we will use reasonable efforts to provide you with notice of that disclosure requirement, unless we are prohibited from doing so by statute, subpoena or court or administrative order. Further, we object to requests that we do not believe were issued properly.
  • Affiliates. We may share data collected from you from the TelaClaims Site with our affiliates. We all will only use the data as described in this notice.
  • Business transfers. If we go through a corporate sale, merger, reorganization, dissolution or similar event, data we gather from you through our website may be part of the assets transferred or shared in connection with due diligence for any such transaction. Any acquirer or successor of TelaClaims may continue to use the data we collect from you through our Site as described in this notice.
  • Aggregated or de-identified data. We might also share data collected from you from the TelaClaims Site with a third party if that data has been de-identified or aggregated in a way that does not directly identify you.

We do not actively share your data with third party advertisers, unless you give us your consent to do so.

International Operations and Transfers Out of the EEA and Switzerland

Please note that when you visit the TelaClaims Site, your data may be sent to the United States and possibly other countries. We store data about TelaClaims Site visitors on servers located in the United States, and we may also store this data on servers and equipment in other countries.

TelaClaims employs appropriate mechanisms for cross-border transfers of personal data, as required by applicable local law. In addition, TelaClaims continues to abide by the US-EU Safe Harbor Framework and the US-Swiss Safe Harbor Framework, as provided by the U.S. Department of Commerce and regarding the collection, use, and retention of personal information received from European Union member countries and Switzerland. TelaClaims has certified that it adheres to the Safe Harbor Privacy Principles of notice, choice, onward transfer, security, data integrity, access, and enforcement. How we secure your data

We use appropriate security measures to protect the security of your data both online and offline. These measures vary based on the sensitivity of the information that we collect, process and store and the current state of technology. Please note, though, that no website or internet transmission is completely secure, so while we strive to protect your data, we cannot guarantee that unauthorized access, hacking, data loss or a data breach will never occur.

How we treat Do-Not-Track Signals/ California Do-Not-Track Disclosure

TelaClaims does not currently respond to web browser’s Do-Not-Track signals.

How we tell you about changes to our privacy practices

We may change our Website Privacy Notice from time to time. If we make changes, we’ll revise the “Last Updated” date at the top of this notice, and we may provide additional notice such as on the TelaClaims Site homepage. If we make any material changes to this notice, TelaClaims will notify you of those changes through a notice on the TelaClaims Site or through other reasonable means of communication, such as email. We will comply with applicable law with respect to any changes we make to this notice.

How to make choices about your data

Deletion, access, and changes to your data. To request deletion of, access to, or to make changes to data we’ve collected from you via the TelaClaims Site, email us at legal@TelaClaims.com. Please note that even if you request that we delete data we’ve collected from you, we may still retain data collected from you in an aggregated or anonymized form that does not identify you. We also will not delete your data if we are legally required to maintain it.

Promotional communications. If you are receiving promotional emails from us, you can choose to stop receiving those by following the unsubscribe/opt-out instructions in those emails. You can also opt-out by contacting customer support.

Cookies and tracking technologies. How you make choices about cookies and other tracking technologies depends on the type of cookie or tracking technology being used.

How to resolve disputes relating to our privacy practices

If you have a dispute with us relating to our privacy practices, please contact our customer support or email us at legal@telaclaims.com Most disputes can be resolved that way. If we can’t resolve our dispute that way, please see Section 17 (Agreement to Arbitrate) of our Terms of Service, which describes how disputes will be resolved between us. As described in that section, the American Arbitration Association (www.adr.org) will conduct the dispute resolution proceedings. Please be sure to review our Terms of Service, including Section 17, before you use any of our products and services.
